1. Acceptance of Terms

By visiting the Website, requesting a quote, signing a service agreement, or otherwise engaging with 57 Clicks, you confirm that you have read, understood, and agreed to these Terms and our Privacy Policy. If you do not agree, please do not use the Website or our services.

You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

2. Description of Services

57 Clicks is a Florida-based digital marketing agency providing services to small and mid-sized businesses, including but not limited to:

  • Search Engine Optimization (SEO) — local SEO, on-page optimization, technical SEO, and content strategy.
  • Pay-Per-Click (PPC) advertising — Google Ads, Microsoft Ads, and similar paid-media platforms.
  • Google Business Profile (GBP) management and optimization.
  • Web design and development — primarily on Wix and Cloudflare platforms.
  • Social media marketing and management.
  • Email marketing, lead tracking, and conversion optimization.
  • Video production and creative services.
  • Reporting, analytics, and account management.

Specific deliverables, timelines, and pricing are documented in the service agreement, statement of work, or proposal executed between 57 Clicks LLC and each client.

3. User Responsibilities

When using the Website or our services, you agree to:

  • Provide accurate, complete, and current information.
  • Maintain the security of any account credentials shared with us.
  • Use the Website and services only for lawful purposes and in compliance with all applicable laws.
  • Not attempt to interfere with, disrupt, or gain unauthorized access to the Website, our systems, or third-party systems we manage on your behalf.
  • Not upload or transmit any content that is illegal, infringing, defamatory, harmful, or otherwise objectionable.
  • Cooperate with reasonable requests for information, approvals, or access necessary to perform contracted services.

You are responsible for any content you provide to us and for ensuring you have all rights necessary to authorize our use of that content in delivering the services.

4. Intellectual Property

a. 57 Clicks Property

All content on the Website — including text, graphics, logos, images, software, and the 57 Clicks name and trademarks — is owned by or licensed to 57 Clicks LLC and is protected by U.S. and international intellectual-property laws. You may not copy, modify, distribute, or use any such content without our prior written consent, except as expressly permitted by these Terms.

b. Client Property

Content you provide to 57 Clicks (your logos, copy, photos, customer data, etc.) remains your property. By providing it to us, you grant 57 Clicks a non-exclusive, royalty-free license to use, reproduce, modify, and display that content solely for the purpose of providing the services you have engaged us to perform.

c. Deliverables

Unless otherwise stated in a written service agreement, ownership of final deliverables (such as websites, ad creatives, and copy) transfers to the client upon full payment of the applicable fees. 57 Clicks retains the right to display non-confidential deliverables in portfolios, case studies, and marketing materials.

5. Third-Party Services and Platforms

Our services often involve third-party platforms (such as Google, Meta, Wix, Cloudflare, Twilio, Resend, and CallRail). Use of those platforms is subject to their own terms and policies. 57 Clicks is not responsible for changes in third-party policies, pricing, availability, or algorithm behavior that may affect campaign performance or service delivery.

6. SMS Service

If you opt in to receive SMS messages from 57 Clicks, those messages are governed by our SMS Terms, which are incorporated into these Terms by reference. By opting in, you agree to both these Terms and the SMS Terms.

7. Fees, Payment, and Refunds

Fees, billing cycles, and payment terms are defined in the applicable service agreement or invoice. Unless otherwise stated:

  • Invoices are due on receipt or as stated on the invoice.
  • Late payments may incur reasonable late fees and may result in suspension of services.
  • All fees are non-refundable except as expressly provided in the service agreement.
  • Third-party costs (ad spend, software subscriptions, hosting fees) are billed separately from service fees and remain the client's responsibility.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • 57 Clicks provides the Website and services "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service.
  • 57 Clicks does not guarantee specific results, search rankings, conversion rates, traffic volumes, or revenue outcomes. Digital marketing performance depends on many factors outside our control.
  • In no event will 57 Clicks, its officers, employees, contractors, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.
  • Our total aggregate liability for any claim arising out of or relating to the Website or services will not exceed the fees paid by the client to 57 Clicks LLC during the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless 57 Clicks LLC, its officers, employees, contractors, and affiliates from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your breach of these Terms or any service agreement.
  • Your violation of any applicable law or third-party right.
  • Content you provide to us or instruct us to publish on your behalf.
  • Your use of the Website or services in a manner not authorized by these Terms.

10. Termination

a. Termination by You

You may terminate your use of the Website at any time. Termination of a paid service engagement is governed by the applicable service agreement.

b. Termination by 57 Clicks

We may suspend or terminate your access to the Website or services at any time, with or without notice, if you breach these Terms, fail to pay amounts owed, or engage in conduct that we determine, in our reasonable discretion, is harmful to 57 Clicks, our clients, or third parties.

c. Effect of Termination

Upon termination, your right to use the Website and any access to active services will cease. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will remain in effect.

11. Governing Law

These Terms and any dispute arising out of or relating to them, the Website, or our services are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12. Dispute Resolution and Venue

Any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or our services that cannot be resolved through good-faith negotiation will be brought exclusively in the state or federal courts located in Florida, USA. You consent to the personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum.

Each party will bear its own attorneys' fees and costs, unless otherwise awarded by the court.

13. Modifications to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page and, where appropriate, provide additional notice. Your continued use of the Website or services after changes are posted constitutes acceptance of the updated Terms.

14. Miscellaneous

  • Entire Agreement. These Terms, together with the Privacy Policy, SMS Terms, and any signed service agreement, constitute the entire agreement between you and 57 Clicks LLC regarding the Website and services.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions will continue in full force and effect.
  • No Waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
  • Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Headings. Section headings are for convenience only and do not affect interpretation.
